CONSTITUTION

 

OF THE

 

WALDORF SOCCER CLUB

 

ARTICLE I - NAME

 

This Club shall be known as the Waldorf Soccer Club (hereinafter referred to as the Waldorf SC or the Club).

 

ARTICLE II - PURPOSE

 

Section 1.

The purpose of the Club shall be to develop, promote and administer the game of soccer among youth under 19 years of age. The Waldorf SC shall not discriminate against any individual on the basis of race, color, religion, age, sex or national origin.

 

Section 2.

The territory shall be the State of Maryland, the County of Charles , the City of Waldorf and the surrounding communities.

 

ARTICLE III - OFFICES

 

The Waldorf SC shall maintain in this State a registered office and a registered agent. The address for this registered office is P.O. Box 314, Waldorf, MD 20604. The registered agent for the Club shall be the President.

 

ARTICLE IV - COLORS

 

The representative colors of the Waldorf SC shall be Black, Orange and White or any combination thereof.

 

ARTICLE V - AFFILIATION

 

The Waldorf SC shall be an affiliated branch of, and comply with the authority of the Maryland State Youth Soccer Association (MSYSA). To the extent permissible under applicable law, the Waldorf SC Constitution and By-Laws shall be consistent with the MSYSA Constitution and By-Laws. The MSYSA Constitution and By-Laws take precedence over and supersede the governing documents and decisions of the Waldorf Soccer Club and its members to the extent applicable under Maryland State Law. The Waldorf Soccer Club shall not join any organization that has requirements that conflict with the MSYSA Constitution and By-Laws.

 

ARTICLE VI - EXECUTIVE BOARD

 

The affairs of the Waldorf Soccer Club shall be conducted by the Executive Board. The Executive Board shall consist of the following officers:

 

President

Vice President - Travel/Rec Plus Programs

Vice President - Recreational Program

Treasurer

Secretary

Registrar

At-Large (2 Positions)

 

The Vice President of Programs shall appoint one representative from each of the following leagues to serve as liaison between the Club and the respective league: the National Capital Soccer League, the Washington Area Girls Soccer League and an Intermediate League Representative.

 

ARTICLE VII - RULES OF ORDER

 

All meetings of this Club shall be conducted in accordance with Robert’s Rules of Order, latest edition, except as modified herein.

 

The agenda of all meetings shall be:

 

        Call to Order

        Roll Call / Credentials

        Reading of the Minutes and Acceptance

        Reading of Correspondence and Communications

        Officer Reports

        Committee Reports

        Unfinished Business

        New Business

        For the Good of the Game

        Adjournment

 

ARTICLE VIII - GENERAL MEMBERSHIP MEETINGS

 

Section 1.

The General Membership meetings of the Waldorf SC shall be held two times per calendar year.  There shall be a General Membership meeting held the first Tuesday after the scheduled completion of the final game of the Spring season.  There shall be a General Membership meeting the second Tuesday of December to conduct, in addition to normal Club business, Club elections and any proposed amendments to the Constitution and By-Laws.  Notification of every General Membership meeting shall be made to all members with no less than thirty days notice.

 

Section 2.

The Waldorf Soccer Club is divided into groupings according to ages of players.  Only members in good standing are eligible to vote at Club General Membership meetings.

 

ARTICLE IX - FINANCIAL POLICY

 

The financial policy of the Waldorf SC shall be established by the Executive Board.  The Treasurer of the Club shall be the Chief Financial Officer and, with the President of the Waldorf SC, shall be responsible on a day-to-day basis for carrying out the financial policy and obligations of the Club.

 

ARTICLE X - DISSOLUTION

 

The Club may be dissolved at any time by written consent of no less than two-thirds of the eligible voting members or upon a declaration by MSYSA that the Club is not in good standing.

 

ARTICLE XI - AMENDMENTS

 

Amendments to this Constitution and By-Laws of the Waldorf SC may be submitted in writing at any time to the Club Secretary.  All proposed amendments to the Constitution and By-Laws shall be submitted, by the Secretary, to the General Membership of this Club at least thirty days prior to the December General Membership meeting at which the proposed amendments are to be considered.  A proposed amendment will be adopted if it is approved by a two-thirds vote of the eligible voting members of the Club in attendance at the December General Membership meeting.
